Welcome to Ocean! We're excited to have you on board. Please read these Terms of Service ("Terms") carefully. By using our services, you ("you" or "Customer") agree to be bound by these Terms.


1. Introduction

Company Information
Ocean OS Group Inc. ("Ocean," "we," "us," or "our") provides remote virtual assistant services through our team of Ocean Assistants ("OAs") and support crew ("crew"). Our mission is to support your needs efficiently and effectively.


2. Acceptance of Terms

By engaging our services, you acknowledge that you have read, understood, and agree to these Terms. If you do not agree, please refrain from using our services.


3. Our Services

Consultant Engagement
We begin each engagement by assigning a consultant who works directly with you to understand your needs and challenges. This consultant will provide guidance on the most effective approach to address your business needs.


Squad Execution
After the initial consultation, a dedicated squad will execute the tasks as outlined by the consultant. Squads consist of a team of OAs who work together to ensure continuity and efficiency in task execution.


Flexible Engagement
No ongoing commitments are required. You can scale your use of our services up or down at any time. We're here to adjust resources as needed.


Work Execution
Our OAs learn your tasks through meetings, Zoom recordings, and the guides we create. These guides (Standard Operating Procedures) are used internally to ensure consistency and accuracy. You have the option to verify these guides for accuracy.


Squad Assignment
We will strive to assign a squad suitable for your tasks. Specific skill sets are not guaranteed, but the assigned squad will be aligned with your requirements. You may request a specific squad or consultant, but this may affect turnaround times and availability.


4. Pricing and Billing

Hourly Rate
Squad execution is billed at $15 per hour. Consultant rates are set on a per-customer basis and mutually agreed upon at the time of engagement.


Weekly Billing
Work performed from Monday to Sunday is billed the following Wednesday. You will receive a notification detailing the hours worked and the total amount due for that week. Invoices are due upon receipt.


Payment Methods
We accept various payment methods, and may change the way we allow payments based on business needs. Processing times may vary based on third-party payment processors.



5. Payment Processing through NMI Payment Gateway

Payment Information
By engaging Ocean OS Group Inc.'s services, you agree to provide your payment information via the NMI payment gateway when services begin. This payment information will be stored securely through the gateway for the purpose of processing charges for services rendered.


Billing Cycle and Charges

  • Hourly Rate Billing: Our services are billed at an agreed hourly rate, as outlined in your service agreement.

  • Weekly Billing Cycles: Services performed from Monday to Sunday will be billed the following Wednesday. You will receive a notification prior to billing detailing the hours worked and the total amount due for that week.

  • Automatic Charges: Ocean OS Group Inc. will automatically charge the approved card for the total amount due after the notification is sent. By providing payment information, you authorize us to make these automatic charges on the designated card.


Notification
We will notify you by your preferred method of communication (email, text, etc.) with the details of the hours worked and the amount to be charged prior to processing the payment.


Payment Methods
We accept payments through the NMI payment gateway using valid credit or debit cards. You authorize Ocean OS Group Inc. to charge your designated payment method for services rendered according to this billing cycle.


Payment Failure
If a payment is unsuccessful, we will notify you and may attempt to reprocess the payment. If the payment continues to fail, your account may be temporarily suspended until payment is successfully processed.


6. Refund Policy

Satisfaction Guarantee
If you're not satisfied with the work performed, you may request a refund or choose not to be charged for those specific hours, if you have yet to be billed for them. There is no specific time frame to request a refund; however, we reserve the right to deny requests based on the situation.


Refund Requests
Refunds are limited to the hours directly associated with the unsatisfactory work. To request a refund, please contact our service team.


Liability Limitation
Our liability is limited to the amount paid for the specific tasks in question. We are not responsible for any indirect, incidental, or consequential damages.


7. Scheduling and Availability

Mutual Agreement
You and your consultant or squad will agree on availability schedules. Any changes require confirmation with your assigned team.


Unforeseen Circumstances
While we will provide ample notice for any changes, unforeseen events may occur. In such cases, we will offer backup support, which you may accept or decline.


International Team
Our crew is primarily based in the Philippines. We strive for reliable service but are not liable for delays caused by events beyond our control, such as natural disasters or technical issues.


8. Confidentiality and Data Security

Data Access
OAs may need access to your software tools or sensitive documents. We provide free access to Lockwell, a secure password-sharing tool, for cross-company credential sharing.


Security Measures
While we take measures to protect your information, we cannot accept liability for security breaches beyond our control. You're responsible for the quality of passwords and security settings of your tools.


Nondisclosure Agreement
These Terms also serve as a nondisclosure agreement. If an OA leaves Ocean, they'll be removed from accessing your information.


9. Limitation of Liability

Limited Liability
Ocean and its crew are not liable for any direct, indirect, incidental, or consequential damages resulting from the use of our services.


Quality of Work
We are not responsible for losses or damages due to errors, including those stemming from miscommunication or language barriers. We will, however, refund the time associated with such issues.


10. Respectful Treatment of Our Crew

Mutual Respect
We value our crew members and expect all customers to treat them with respect and professionalism.


Right to Discontinue Service
Ocean reserves the right to discontinue service without liability if we determine that a customer is not treating an Ocean team member appropriately.


11. Intellectual Property

Ownership of Work Products
All work products created by our OAs during the service period, including any guides or Standard Operating Procedures (SOPs) that are specific to your tasks and contain your proprietary information, are considered "work for hire" and become your property upon payment.


Use of Guides
Ocean retains the right to use any guides, templates, or processes that we create during the course of providing services, excluding any of your private or proprietary information, for the purpose of delivering services to other customers.


Protection of Proprietary Information
We will not share any of your confidential or proprietary information with other customers or third parties. Any guides or materials containing your specific information will remain confidential and are for your exclusive use.


License to Use Materials
You grant Ocean a non-exclusive, royalty-free license to use any materials you provide solely for the purpose of delivering services to you and improving our offerings, in accordance with these Terms and our Privacy Policy.


12. Communication and Interaction

Preferred Methods
We accommodate your reasonable preferences for interacting with your consultant or OA.


Language Proficiency
All crew members have a basic proficiency in English and use tools like Grammarly and AI assistance. If miscommunication occurs due to language barriers, we'll work to correct it, though Ocean is not liable for errors due to language misunderstandings.


13. Privacy Policy

Data Collection
We collect only the information necessary to provide our services.


Data Usage
Your data is used solely for delivering services and improving our offerings.


Data Protection
We implement reasonable security measures to protect your information from unauthorized access.


Third-Party Sharing
We do not share your personal information with third parties except as required to provide our services or comply with legal obligations.


14. Governing Law

Jurisdiction
These Terms are governed by the laws of the State of Delaware.


Legal Proceedings
Any legal action arising under these Terms will be brought exclusively in the courts located in Delaware.


15. Dispute Resolution

Good Faith Efforts
Both parties agree to attempt to resolve any disputes informally through good faith discussions.


Mediation and Arbitration
If a dispute cannot be resolved informally, it may be submitted to mediation or binding arbitration in accordance with applicable laws.


16. Force Majeure

Uncontrollable Events
Ocean is not liable for delays or failures in performance resulting from events beyond our reasonable control, such as natural disasters, technical failures, or other force majeure events.


17. Changes to Terms

Updates
We may update these Terms as needed. Changes will be posted on our website, and continued use of our services constitutes acceptance of the new Terms.


Accessibility
The current Terms are always available on our website for your review.


18. Entire Agreement

Comprehensive Terms
These Terms constitute the entire agreement between you and Ocean regarding our services and supersede any prior agreements.


19. Severability

Partial Invalidity
If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions will remain in effect.


20. Waiver

No Waiver
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.


21. Assignment
